UNRECOGNIZABLE MEMBERSHIP TERMS OF USE

INTRODUCTION
The Unrecognizable Membership (“Membership”) is an online Membership offered by Krystal Budde, doing business as Live Well Love, LLC (“Company”). Membership consists of one weekly private podcast episode, guided meditations, and any other items Company is providing you, specific to your purchase. By purchasing Membership, you, as the purchaser of Membership and participant in Membership, are agreeing to the following Terms of Use, which constitute a legally binding agreement between you and Company.

SCOPE AND TERM
Through your purchase of Membership, you will receive access to one new private podcast episode per week until you cancel your Membership.

REGISTRATION AND YOUR ACCOUNT
In order to access the private podcast or other Membership materials, you may be required to register for an account or access link. By purchasing Membership and registering, you agree:
You are of legal age to consent to a binding contract.
You will provide truthful, accurate, complete, and current information upon registration.
You will update your registration as needed.
You will not share your registration or private podcast link, or allow anyone else to access your account.
You are responsible for maintaining the security of your registration information.
You will notify us as soon as you become aware of any unauthorized use of your account.
You are solely responsible for procuring any necessary hardware, software, and/or network connections necessary to access Membership.
You indemnify us against all losses, damages, claims, costs and/or expenses and release us from any liability that arises from any unauthorized use of your account.
If you are permitted to post, comment, or otherwise engage with others while participating in Membership, you agree not to post any material that is obscene, unlawful, defamatory, violent, or infringes on intellectual property rights.
We have the right to terminate your account at any time, at our discretion, without notice to you, if any terms of this Agreement are violated.
If your account is terminated for breach of Agreement terms, you will not be refunded any payments made up to the point of termination.

ERRORS, OMISSIONS, MODIFICATIONS, AND DISCONTINUATIONS
We do not guarantee the accuracy or completeness of Membership descriptions or information. We reserve the right to change or modify any Membership-related details at any time, without notice.
We may correct errors in pricing or cancel any orders if we become aware of a pricing error, even if your purchase is complete. If your purchase has already been completed, we will notify you, cancel your order, and issue a refund.
We reserve the right to discontinue Membership at any time, without notice.
You agree that we may modify, replace, upgrade, or otherwise change Membership at any time, and convert you to the new format, to the extent such change is not detrimental to your use of Membership, and with reasonable notice from us.

PAYMENT
The cost of Membership is:
$17 USD per month.
You may cancel your Membership anytime after your first payment, but no refunds will be issued for any payments already made.
Transactions are conducted through secure third-party payment systems subject to their own terms of use.
By initiating a purchase, you warrant that you have the authority and rights to use your payment method, you authorize us to charge your chosen method of payment, and you agree to pay all charges listed. You will not be given access to Membership until full satisfactory payment is received.
You agree not to initiate chargebacks via your payment provider. Any payments that are not refundable as outlined in these Terms are final and may not be charged back.
If your payment method is declined, Company will notify you and you will have 3 business days to pay the full amount owed. If after 3 days you still have not paid, your access to Membership will be terminated.

NO REFUNDS
No refunds will be issued for any reason. All payments made are final.

DISCOUNTS AND PROMOTIONS
We may offer discounts or promotions as applied to your original purchase, subsequent purchases, or in conjunction with a subscription. These cannot be redeemed for cash, combined with other offers, or transferred.

YOUR PRIVACY
By purchasing Membership, you agree that we may process your personal information for the purpose of completing the transaction. Service providers may have access to your information only to the extent necessary to fulfill their obligations.

THIRD PARTY CONTENT
Membership may contain links to or content from third parties. These are governed by their own terms and privacy policies. We make no representations regarding third-party websites or content.

INTELLECTUAL PROPERTY
By purchasing Membership, we grant you a single-use, non-exclusive, non-transferable, revocable license to access Membership materials.
Membership materials include, but are not limited to:
Private podcast episodes
Guided meditations
Downloadable audios or exercises
All Membership resources are owned by Company and protected by copyright and trademark law. You may not reproduce, distribute, or share Membership resources.
You are permitted to download guided meditations or audio tracks only for your personal, non-commercial use.

CONFIDENTIALITY / NON-DISCLOSURE
You agree not to disclose any confidential information learned through Membership except as required by law.

NON-DISPARAGEMENT
You agree not to make false, derogatory, or disparaging statements about Company, Membership, or Membership participants.
DISCLAIMER
Membership is provided “as is” for educational and informational purposes only. It is not therapy, medical advice, legal advice, financial advice, or business consulting.
Company makes no guarantees about results, income, health, relationships, or other personal outcomes. Any testimonials are examples only and do not guarantee results.

LIMITATION OF LIABILITY
To the fullest extent permitted by law, Company is not liable for any damages, direct or indirect, arising from your use of Membership. Our liability is limited to the amount you paid for Membership prior to the event giving rise to liability.

INDEMNIFICATION
You agree to indemnify and hold harmless Company and its agents from any claims, damages, or expenses arising out of your use of Membership.

TERMINATION AND CANCELLATION
If you fail to pay amounts due, your access will be terminated.
If you breach Membership guidelines, your access may be terminated without refund.
If Company cancels Membership entirely, you will receive a prorated refund based on services rendered.
Upon cancellation or termination, you lose access to the private podcast and any other Membership resources.

NO PARTNERSHIP, AGENCY, OR EMPLOYMENT RELATIONSHIP
Your participation in Membership does not create a partnership, joint venture, or employment relationship with Company.

TESTIMONIAL RELEASE
You agree that Company may use any testimonial you provide about Membership for marketing purposes.

INTERNATIONAL USERS
Membership is operated in Denver, Colorado, USA, and governed by U.S. law. If you access from outside the U.S., you agree to comply with your country’s laws.

GOVERNING LAW / DISPUTE RESOLUTION
Any disputes will be subject to binding arbitration in Denver, Colorado. If arbitration is not possible, disputes will be litigated in courts nearest Denver, Colorado.

ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between you and Company regarding your purchase of Membership.

SEVERABILITY
If any portion of this Agreement is deemed void or unenforceable, the remainder shall remain in effect.
